1. Definitions

In these General Terms and Conditions, the following definitions apply:

• JeOfferte.nl: JeOfferte.nl B.V., having its registered office at Keizersgracht 520 H, 1017 EK Amsterdam, Chamber of Commerce no.: 97542741.
• Professional: any natural or legal person acting in the exercise of a profession or business and using JeOfferte.nl's platform to receive leads or offer services to consumers.
• Platform: the website www.jeofferte.nl and related digital services.
• Lead: the contact and project information of a consumer who submits a request via the platform and which is made available by JeOfferte.nl to the Professional.
• Subscription: an agreement whereby the Professional, in return for payment, obtains access to specific functions or a fixed number of leads within a defined period.
• Agreement: any agreement between JeOfferte.nl and the Professional regarding the use of the platform or the purchase of leads.
• Parties: JeOfferte.nl and the Professional collectively.

2. Applicability

1. These General Terms and Conditions apply to all agreements between JeOfferte.nl and the Professional and to any use of the platform.
2. Any general or deviating terms and conditions of the Professional are expressly rejected.
3. By registering or purchasing leads, the Professional agrees to these terms and conditions.

3. JeOfferte.nl's services

1. JeOfferte.nl operates a digital intermediary platform on which consumers and service providers can get in touch with each other.
2. JeOfferte.nl is not a party to agreements between consumers and professionals and accepts no liability for the content, performance or quality of the services provided by professionals.
3. JeOfferte.nl may at any time amend, expand or discontinue the range of services, functionalities and prices, with reasonable notice to the Professional.

4. Registration and account management

1. The Professional must register with accurate, complete and up-to-date business information. Incomplete or incorrect registration may result in suspension or removal.
2. The Professional is responsible for the confidentiality of login credentials and for all actions that take place via their account.
3. JeOfferte.nl reserves the right to temporarily block or permanently remove accounts in the event of misuse, default of payment, breach of legislation, or conduct that may harm the reputation of JeOfferte.nl.

5. Leads, requests and allocation

1. Leads are provided based on availability and matching criteria. JeOfferte.nl does not guarantee that every lead will result in contact or an assignment.
2. Leads remain the property of JeOfferte.nl until full payment has been made.
3. The Professional is not permitted to resell, share or commercially exploit leads outside of their own business activities.
4. JeOfferte.nl is not responsible for the accuracy of the data contained in a lead or for the actions of the consumer.

6. Payments, subscriptions and invoicing

1. All prices are exclusive of VAT, unless stated otherwise.
2. Payment must be made within 14 days of the invoice date, unless otherwise agreed.
3. In the event of late payment, JeOfferte.nl is entitled to charge statutory commercial interest and extrajudicial collection costs and to temporarily suspend access to the platform.
4. Subscriptions will automatically renew for the same term upon expiry, unless cancelled in writing at least 30 days before the end date.
5. JeOfferte.nl reserves the right to unilaterally adjust prices, subscription rates, and credits, subject to a notice period of at least 14 days.

7. Use of data and confidentiality

1. The Professional shall treat all data received via the platform as strictly confidential and shall use it exclusively for the purpose for which it was provided.
2. It is prohibited to use the data received for mass communication, spam, or purposes that contravene laws or regulations.
3. In the event of a breach of this article, JeOfferte.nl is entitled to immediately terminate the account and claim damages.

8. Quality of service

1. The Professional shall at all times act in accordance with professional standards, applicable legislation, and reasonable due care.
2. Complaints from consumers regarding the performance of work shall be entirely at the expense and risk of the Professional.
3. The Professional shall fully indemnify JeOfferte.nl against any claims by consumers or third parties in connection with deficient performance or damage.

9. Reviews and communication

1. Consumers may leave reviews about the Professional. JeOfferte.nl reserves the right to moderate or remove reviews, or to use them for promotional purposes.
2. The Professional shall refrain from misleading or aggressive communication towards consumers or other users of the platform.

10. Liability and indemnification

1. JeOfferte.nl shall not be liable for any direct or indirect damage, loss of profit, reputational damage, consequential damage, or claims arising from the use of the platform or leads.
2. JeOfferte.nl's liability shall in all cases be limited to the amount paid out by its liability insurance or, in the absence thereof, to a maximum of the invoice amount for the three months preceding the incident.
3. The Professional shall indemnify JeOfferte.nl against all third-party claims relating to the use of the platform, leads received, or breach of these terms.

11. Force majeure

JeOfferte.nl shall not be obliged to fulfil its obligations in the event of force majeure, which shall be deemed to include: disruptions to internet connections, cyberattacks, government measures, pandemics, staff absences, or other circumstances beyond its control.

12. Termination and suspension

1. JeOfferte.nl may terminate or suspend the agreement with immediate effect in the event of non-payment, breach of these terms, or misuse of the platform.
2. Upon termination, all rights of access to the platform and to outstanding leads shall lapse. Amounts already paid will not be refunded.

13. Intellectual property

All intellectual property rights in the platform, software, databases, logos, and brand names belong to JeOfferte.nl or its licensors. The Professional is prohibited from altering or removing any indication of intellectual property.

14. Privacy and data processing

JeOfferte.nl processes personal data in accordance with applicable legislation (GDPR). The Professional is deemed to act as an independent data controller when contacting consumers and must itself comply with the GDPR. See the privacy statement for more information.

15. Applicable law and disputes

These terms and conditions are governed exclusively by Dutch law. Disputes shall preferably be resolved amicably. If this is not possible, disputes shall be submitted to the competent court in Amsterdam.

16. Final provisions

If any provision is found to be invalid, the remaining provisions shall remain in force. These terms and conditions supersede all previous versions and may be updated without prior notice.
